In the event of any inconsistency or discrepancy between this English version and the Japanese version of the Terms of Service, the Japanese version shall prevail.
1. General Provisions
1.1 Application
These Terms of Service (“Terms”) govern the use of the application “kakiko” (the “Service”) provided by Frater LLC (“we,” “our,” or “us”).
By using the Service, you agree to be bound by these Terms.
1.2 Definitions
- “User” means any individual or legal entity that uses the Service in accordance with these Terms.
- “Account” means authentication credentials required to use the Service.
- “Our Content” means software, text, designs, specifications, and other materials provided by us through the Service.
2. Description of the Service
2.1 Overview
The Service provides software functions such as task management, time tracking, and routine task management.
2.2 Free and Paid Plans
The Service offers free plans and paid subscription plans.
Details of features, pricing, and conditions are displayed within the Service or otherwise specified by us.
2.3 Cloud Sync Feature (Paid Plans Only)
The paid plan (Pro Plan) of the Service may include a cloud sync feature for synchronizing data across the user’s multiple devices.
The cloud sync feature is available only when explicitly enabled by the user. When this feature is used, data encrypted on the user’s device is stored on cloud infrastructure used by us.
We do not hold the encryption keys and cannot decrypt or view the contents of stored data.
3. Provision and Modification of the Service
3.1 Service Conditions
The Service is provided on an “as is” basis. To the maximum extent permitted by applicable law, we make no warranties, express or implied, regarding fitness for a particular purpose, completeness, accuracy, or usefulness of the Service.
Furthermore, we do not guarantee that the features of the Service, including the cloud sync feature, will be available at all times, that data will always be synchronized in a complete and up-to-date state, or that data will not be lost.
3.2 Modification or Suspension
We may modify, suspend, or terminate all or part of the Service in the following cases:
- Maintenance, inspection, or system updates
- Force majeure events such as natural disasters or network failures
- Other circumstances where we reasonably determine it necessary
- Changes in specifications, outages, or suspension of services by cloud infrastructure providers
4. Prohibited Conduct
Users must not engage in any of the following acts when using the Service:
- Violations of laws or public order and morals
- Infringement of intellectual property rights, privacy rights, or other rights of us or third parties
- Interference with or disruption of the operation of the Service
- Unauthorized access, reverse engineering, analysis, or modification
- Reproduction, distribution, or public transmission of Our Content without permission
- Circumventing or fraudulently using the cloud sync feature, authentication mechanisms, or billing management mechanisms
- Unauthorized acquisition, sharing, or misuse of encryption keys, recovery codes, or authentication credentials
- Any other acts that we reasonably deem inappropriate
5. Usage Restrictions and Account Management
We may restrict or suspend a User’s access to the Service without prior notice if:
- The User violates these Terms
- Unauthorized or fraudulent use is suspected
- Payment obligations are not fulfilled
- The paid plan subscription has ended (including suspension of features included in the applicable plan)
6. Use by Minors
If a User is a minor, use of the Service must comply with applicable laws, including obtaining consent from a parent or legal guardian where required.
Paid subscriptions may require parental or guardian consent unless otherwise permitted by us.
7. Fees and Payment
7.1 Fees
Fees for paid plans are displayed within the Service or on the purchase screen.
7.2 Payment Methods
Payments are made via credit card or other methods specified by us.
We may use third-party payment processors (such as Stripe) to process payments.
7.3 Automatic Renewal and Cancellation
Paid subscriptions automatically renew unless cancelled through the designated procedure before the next renewal date.
If a paid plan is cancelled, paid features such as the cloud sync feature will become unavailable at the end of the applicable subscription period. The retention period and deletion method of data stored in the cloud shall be governed by our separately established policies.
7.4 Refunds
Due to the nature of digital content and subscription services, refunds are not provided except where required by applicable law.
8. Intellectual Property Rights
All intellectual property rights related to the Service and Our Content belong to us or legitimate rights holders.
Users are granted a non-exclusive right to use the Service in accordance with these Terms.
9. Disclaimer and Limitation of Liability
9.1 Disclaimer
To the extent permitted by applicable law, we are not liable for any damages arising from or related to the use or inability to use the Service (including indirect, special, or consequential damages and lost profits), except where caused by our willful misconduct or gross negligence.
We are also not liable for damages arising from data loss, overwriting, synchronization inconsistencies, inability to restore data, loss of encryption keys, outages of external cloud services, or other issues related to the cloud sync feature, except where caused by our willful misconduct or gross negligence.
9.2 Limitation of Liability
Where we are liable to a User, our total liability shall not exceed the total amount of fees paid by the User to us during the six (6) months immediately preceding the month in which the damage occurred.
10. Changes to These Terms
We may revise these Terms from time to time.
Material changes will be notified to Users in advance by reasonable means.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of Japan.
Any disputes arising out of or relating to the Service shall be subject to the exclusive jurisdiction of the Yokohama District Court as the court of first instance.
